Terms & Conditions

1. Acceptance of These Terms

These Terms and Conditions (the "Terms") are a legally binding contract between you and KM25 Sp. z o.o. ("Laddrr," "we," "us," or "our"). These Terms govern your access to and use of the Laddrr mobile application, websites, and related services (collectively, the "Service").

Incorporated Policies: By agreeing to these Terms, you also agree to our Privacy Policy and Subscription Policy, which are incorporated into these Terms by reference.

By creating an account, making a purchase, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.

PLEASE NOTE: Section 11 contains a MANDATORY ARBITRATION AGREEMENT and a CLASS ACTION WAIVER. These clauses affect how disputes are resolved.

2. Important Disclaimers

Laddrr is intended to be a tool to assist you in your self-improvement goals. You are responsible for your own actions and well-being.

3. Accounts

To use certain features of the Service, you may need to create an account. You agree to provide true, accurate, and complete information during registration and to keep it updated.

  • Age Requirement: The Service is intended for users who are at least 18 years old. By creating an account, you represent that you are 18 or older.
  • Account Security: You are responsible for maintaining the confidentiality of your account login information. You must notify us immediately of any unauthorized use.
  • Termination: We reserve the right to suspend or terminate your account at any time if you breach these Terms.

4. The Service and Intellectual Property

The Service and all its content (the "Content") are the property of Laddrr or its licensors and are protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive license to use the Service solely for your personal, non-commercial purposes. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service without our prior written consent.

5. Subscriptions, Payments, and Refund Policy

Certain features of the Service require a purchase.

  • Immediate Digital Delivery: You acknowledge that the Service is a digital product. "Delivery" is complete immediately upon the provisioning of your account or sending of the confirmation email.
  • Automatic Renewal: Subscriptions automatically renew for the same period unless cancelled at least 24 hours before the end of the current period.
  • Cancellation:
    • App Store: Cancel via your Apple ID or Google Play settings.
    • Website: Cancel via your account dashboard or by contacting support.
    • Note: Deleting the app does not cancel your subscription.
  • No Refunds (Website Purchases): As detailed in our Subscription Policy, all direct website purchases are final and non-refundable unless required by law.
    • EU/UK Right of Withdrawal Waiver: By clicking "Subscribe," consumers in the EU/UK expressly waive their 14-day right of withdrawal in exchange for immediate access to the digital content.
  • Price Changes: We reserve the right to change fees with reasonable prior notice.

6. iOS App Store Terms (Apple Requirements)

If you download our iOS app from the Apple App Store:

  • Apple Standard EULA: Your use is governed by Apple's Licensed Application End User License Agreement. In case of conflict, Apple's EULA controls.
  • Apple Not a Party: These Terms are between you and Laddrr, not Apple. Apple is a third‑party beneficiary and may enforce these Terms against you.
  • Support & Claims: Laddrr, not Apple, is responsible for maintenance, support, and addressing any product claims or intellectual property infringement.
  • Refunds: Refunds for in-app purchases are subject solely to Apple's policies (reportaproblem.apple.com).
  • Legal Compliance: You represent you are not located in a US-embargoed country or on a US prohibited party list.

7. User Conduct

You agree not to use the Service for illegal purposes, modify/reverse engineer the Service, interfere with security, or use bots/scrapers.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: IN NO EVENT SHALL LADDRR BE LIABLE FOR LOST PROFITS, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR AGGREGATE LIABILITY TO YOU IS LIMITED TO THE AMOUNTS YOU HAVE PAID TO US IN THE PAST 12 MONTHS.

For Australian Consumers: Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that cannot be excluded under the Australian Consumer Law (ACL). For any liability that cannot be excluded, our liability is limited (at our option) to re-supplying the service or paying the cost of re-supply.

9. Indemnification

You agree to indemnify and hold Laddrr harmless from any claim arising out of your use of the Service or violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the Republic of Poland.

  • EU Consumers: This choice of law does not deprive you of the protection afforded by mandatory consumer provisions of your country of residence.

11. Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY.

  • Informal Resolution: You agree to first contact us at hello@laddrr.app to attempt to resolve any dispute informally.
  • Binding Arbitration: Any unresolved dispute shall be resolved by binding arbitration under the ICC Rules of Arbitration. The seat shall be Warsaw, Poland, and the language English.
    • Small Claims Exception: Notwithstanding the above, either party may choose to pursue a claim in "small claims" court in the county of your residence, provided the claim qualifies.
  • Class Action Waiver: YOU AND LADDRR AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
  • 30-Day Opt-Out: You may opt out of this Arbitration Agreement by sending written notice to hello@laddrr.app within 30 days of first accepting these Terms.

12. Changes to These Terms

We may modify these Terms. Continued use of the Service after changes constitutes acceptance.
